1. Term. This Agreement shall be in effect as of the Effective Date and shall continue until all services as enumerated in Schedule 1 have been completed.

2. Services. Stylist agrees to perform for Client those services described in Rider A incorporated herein by reference (the “Services”). The parties may delete, add or substitute Services, extend the Term, or alter the terms of compensation by amending Rider A, provided that such amendment shall be signed by an authorized representative of both parties and shall indicate whether it is to replace or alter the then existing Rider A.

3. Compensation. The Consultant shall receive from the Client the full amount corresponding to the Package or hourly service taken in 1 installment, as described in Rider A. Upon completion of first appointment, you have 12 months to use the package before it expires and payment will be taken in full. I agree to compensate the Consultant for the performance of the services rendered to the Client pursuant to the terms of the agreement, and an invoice may be submitted on or before the date of services rendered, and for $150 per hour of work performed by the Consultant over and beyond the package agreement. The Consultant shall submit an invoice of services rendered or to be rendered and expenses incurred within fifteen (15) days following services rendered. The amount shall be paid to the Consultant upon receipt of invoice and within fifteen (15) days of receipt, or be subject to a service charge of 1% per month.

4. Relationship of the Parties. Stylist acknowledges that she is an independent contractor and is not an agent, partner, joint venture or employee of Client. Stylist shall have no authority to bind or otherwise obligate Client in any manner nor shall Stylist represent to anyone that she has the right to do so.

5. Representations and Warranties. Stylist represents and warrants that she is free to enter into this Agreement and that the engagement does not violate the terms of any agreement between Stylist and any third party. During the Term of this Agreement, Stylist shall devote as much productive time, energy and abilities as is needed and necessary to perform the required duties in a timely and productive manner. Stylist is expressly free to perform services for other parties while performing services for Client.

6. Limitation on Liability. With regard to the services to be performed by the Stylist pursuant to the terms of this agreement, Stylist shall not be liable to Client, or to anyone who may claim any right due to any relationship with Client, for any acts or omissions in the performance of services on the part of Stylist. The Client shall hold Stylist free and harmless from any obligations, costs, claims, judgments, attorneys’ fees, and attachments arising from or growing out of the services rendered to Client pursuant to the terms of this agreement or in any way connected with the rendering of services, including loss of personal property. Client acknowledges that, Stylist advises anything of value, including jewelry, be secured under lock or removed prior to the Stylist appointment, and that Stylist is not responsible for loss or damage to personal or real property, or person, whether attributable to use of property, or otherwise. Client is solely responsible for interactions, financial and otherwise, with merchants and retailers, and all purchases are made by Client, who shall indemnify and hold Stylist harmless from and against any and all claims, demands, causes of action, debts or liabilities arising out of or on account of making purchases. Client hereby waives Civil Code Section and any similar provision in any jurisdiction which states: “A general release does not extend to claims which the creditor (Client) does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”

7. Termination. The services provided pursuant to this Agreement may be terminated by Stylist at any point and no refunds will be made for services previously rendered. Payment will be due for services performed prior to the date of termination of this Agreement.

8. Miscellaneous. a. The provisions of this Agreement shall be binding upon and for the benefit of the heirs, personal representatives, successors and assigns of the parties.

b. In the event of a default under this Agreement, the defaulted party shall reimburse the non-defaulting party or parties for all costs and expenses reasonably incurred by the non-defaulting party or parties in connection with the default, including without limitation, attorney’s fees. Additionally, in the event a suit or action is filed to enforce this Agreement or with respect to this Agreement, the prevailing party or parties shall be reimbursed by the other party for all costs and expenses incurred in connection with the suit or action, including without limitation, reasonable attorney’s fees at the trial level and on appeal. No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver.

c. This Agreement shall be governed by and shall be construed in accordance with the laws of the State of New York. Client agrees that the jurisdiction of the State of New York will apply and personal service may be made upon Client by overnight mail.

d. This Agreement constitutes the entire agreement between the parties pertaining to its subject matter and it supersedes all prior contemporaneous agreements, representations and understandings of the parties. No supplement, modification or amendment of this Agreement shall be binding unless executed in writing by all parties.

e. If any provision of this Agreement is held unenforceable, then such provision will be modified to reflect the parties’ intention. All remaining provisions of this Agreement shall remain in full force and effect.

f. Stylist shall not assign any of her rights under this Agreement, or delegate the performance of any of her duties hereunder, without the express written prior consent of Client. *
